These Terms govern your use of GyanRank and related services, including website access, app usage, and payment workflows processed through approved payment partners such as Razorpay. GyanRank is a subscription-based SaaS service for institutes, and access to premium features depends on an active monthly or yearly institute subscription. By continuing to use the platform, you agree to be bound by these Terms, the Privacy Policy, and other policies published on this website.

If you do not agree with these Terms, you must stop using the services immediately. We may revise these Terms from time to time, and continued use after updates means you accept the revised Terms.

1. Proprietary Rights

  • All rights, title, and interest in platform software, content, branding, and technology remain with GyanRank and/or its licensors.
  • You receive a limited, non-exclusive, non-transferable right to use the platform for lawful business and educational purposes.
  • You must not copy, reverse engineer, decompile, distribute, sublicense, or misuse proprietary content, code, or marks without written permission.

2. Account and Usage Obligations

  • You must be legally capable of entering a binding contract under applicable law.
  • You are responsible for all actions performed using your account credentials.
  • You must provide true, complete, and up-to-date registration and KYC information.
  • We may suspend or terminate accounts for false information, suspected fraud, illegal use, or policy violations.
  • You agree to comply with RBI directions, payment aggregator norms, AML/KYC standards, and other applicable laws.
  • You must retain transaction records and relevant documents for regulatory and audit purposes when required by law.

3. Communications and Consent

By providing contact details, you consent to receiving service, transactional, security, and support communications by phone, SMS, email, WhatsApp, or similar channels, subject to applicable law and your communication preferences.

4. KYC, Compliance, and Due Diligence

  • You agree to provide and update KYC documents and any additional documents requested by us, banks, payment partners, or regulators.
  • Failure to provide required documents may result in settlement hold, account restriction, or service suspension.
  • You authorize us to verify and re-verify KYC/business details and to share required compliance information with authorized entities.

5. Fees, Taxes, Invoicing, and Reconciliation

  • Fees for platform and payment services are charged as per the pricing applicable to your account and may be revised from time to time.
  • Institute subscriptions are billed monthly or yearly as selected at checkout and renew according to the active plan cycle unless cancelled.
  • Applicable taxes are extra and borne by you as required by law.
  • You are responsible for transaction reconciliation and must report settlement discrepancies within specified timelines.
  • Where applicable, tax withholding obligations, GST details, and statutory compliance remain your responsibility.

6. Payment Processing, Chargebacks, and Refunds

  • Payment processing is subject to acquiring banks, card networks, UPI systems, and payment partner rules.
  • Chargeback liability generally rests with the merchant/user account receiving funds for the transaction.
  • You must provide chargeback evidence within required timelines, failing which reversals may be processed.
  • Refunds are initiated by you through platform controls, subject to available funds and partner/network constraints.

7. Prohibited Use and Prohibited Products/Services

You shall not use the platform for illegal, fraudulent, or restricted activities. Prohibited categories include, without limitation:

  • Adult sexual services or child exploitation content.
  • Illegal drugs, narcotics, and unlawful paraphernalia.
  • Counterfeit goods, copyright infringement, and unauthorized software/media.
  • Weapons, explosives, hazardous materials, and regulated contraband.
  • Unlicensed gambling, betting, lottery, ponzi/pyramid schemes, and money laundering services.
  • Fake government IDs, hacking tools, phishing/fraud tools, and cybercrime-related activity.
  • Virtual currency/crypto services where restricted or disallowed by partner/risk policies.
  • Any product or service prohibited by applicable law, payment network rules, or banking partners.

8. Privacy

Your personal information is processed in accordance with our Privacy Policy. By using the services, you consent to such processing and required data sharing for compliance, fraud prevention, and service delivery.

9. Third-Party Links and Offers

The platform may contain links to third-party websites, tools, and offers. We do not control and are not responsible for third-party terms, content, or privacy practices. Your use of third-party services is at your own risk.

10. Disclaimer of Warranty

Services are provided on an "as is" and "as available" basis. We do not warrant uninterrupted, error-free, or always-available operation.

11. Limitation of Liability

To the maximum extent permitted by law, GyanRank and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of business, profit, data, or goodwill arising from platform use, payment failures, delays, chargebacks, or third-party actions.

12. Indemnity

You agree to indemnify and hold harmless GyanRank, its affiliates, officers, employees, and partners against claims, losses, penalties, costs, and expenses (including legal fees) arising from your breach of these Terms, your legal non-compliance, or disputes with your customers/end users.

13. Suspension and Termination

  • We may suspend services, settlements, or account access for risk, fraud, non-compliance, legal direction, or breach of Terms.
  • On termination, you remain liable for pending fees, chargebacks, penalties, and legal obligations accrued before termination.
  • Settlement holdbacks may apply for chargeback/risk coverage as per network or partner requirements.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of competent courts/tribunals at Bengaluru, India, unless otherwise required by applicable law.
